WorldAgents End User License Agreement

This agreement is between you and Shapes Corp. If you use WorldAgents for an organization, you represent that you have authority to accept this agreement for that organization. In that case, "you" includes both you and the organization.

By creating an account, signing in, installing an app, joining a pilot, or otherwise using WorldAgents, you agree to this agreement. If you do not agree, do not use WorldAgents.

If a signed order form, statement of work, data processing agreement, or other written agreement expressly conflicts with this agreement, that written agreement controls to the extent of the conflict.

Shapes Corp grants you a limited, non-exclusive, non-transferable, revocable license to access and use WorldAgents for your internal business, testing, design, development, and deployment purposes, subject to this agreement, applicable order forms, product documentation, and the plan or pilot terms that apply to your account.

The software is licensed, not sold. We may provide updates, fixes, experiments, beta features, and changes to the service. Those updates are covered by this agreement unless we provide separate terms.

You are responsible for your account credentials, invited users, organization settings, files, agents, spaces, and activity under your account. You must provide accurate account information and keep it current.

Organization administrators may manage members, shared content, billing settings, deployment settings, and other organization data. If your account is provided by an organization, that organization may control or access information associated with your use of the organization workspace.

You retain ownership of the content you upload, submit, stream, generate, or store through WorldAgents, including agent instructions, prompts, files, images, audio, video, transcripts, maps, spaces, semantic layers, annotations, simulation data, and generated assets.

You grant Shapes Corp a worldwide, non-exclusive, royalty-free license, sublicensable only to service providers used to operate WorldAgents, to host, copy, process, transmit, display, transform, and create technical derivatives of that content as needed to provide, secure, support, maintain, improve, and troubleshoot WorldAgents. This license does not transfer ownership of your customer content to Shapes Corp.

Any rights to use non-public customer content to train models for general use must be stated in a separate agreement, product setting, or written permission.

You are responsible for having the rights, permissions, notices, and consents needed for the content you provide, including content that contains personal information, confidential information, voice, video, biometric-adjacent device signals, third-party intellectual property, or location and spatial data.

WorldAgents can use AI models, realtime audio and video, computer vision, spatial mapping, simulation, localization, recognition, and generated assets. Outputs may be incomplete, inaccurate, unsafe for a particular context, or different across runs.

You are responsible for reviewing outputs and deciding whether they are appropriate for your use case. Do not rely on WorldAgents as the sole basis for safety-critical, emergency, medical, legal, financial, employment, or other high-impact decisions unless you have implemented appropriate human review, validation, controls, and independent compliance review.

You may not misuse WorldAgents or help anyone else misuse it.

WorldAgents may interoperate with third-party services, model providers, cloud infrastructure, analytics, authentication providers, app stores, device platforms, wearable device SDKs, and customer-selected integrations. Those services may be governed by their own terms and privacy notices.

We are not responsible for third-party products or services that are not controlled by Shapes Corp. Your use of an app store, device, model provider, or integration may require a separate account or agreement.

Paid plans, pilots, custom work, usage limits, renewal terms, and fees are governed by the applicable checkout flow, order form, statement of work, or written agreement. Fees are non-refundable except as required by law or stated in the applicable agreement.

Free, trial, pilot, beta, preview, and experimental features may be changed, suspended, limited, or discontinued at any time. Beta features may be less reliable and may not be covered by all support, security, or availability commitments.

Except for your customer content, Shapes Corp and its licensors own all rights in WorldAgents, including software, interfaces, workflows, models, documentation, trademarks, service marks, and product design.

If you provide ideas, feedback, bug reports, or suggestions, you grant Shapes Corp a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or obligation to you.

Our Privacy Policy explains how we collect, use, disclose, and protect personal information. The Privacy Policy is part of this agreement.

You may stop using WorldAgents at any time. We may suspend or terminate access if we reasonably believe you violated this agreement, created security or legal risk, failed to pay fees, or used WorldAgents in a way that could harm Shapes Corp, users, third parties, or the service.

After termination, your license ends. Sections that by their nature should survive will survive, including ownership, restrictions, payment obligations, disclaimers, limitations of liability, indemnity, and dispute terms.

To the maximum extent permitted by law, WorldAgents is provided "as is" and "as available." Shapes Corp disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

We do not warrant that WorldAgents will be uninterrupted, error-free, secure, or that outputs, spatial results, simulations, localizations, recognitions, transcripts, or generated assets will be accurate or suitable for your intended use.

To the maximum extent permitted by law, Shapes Corp will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or substitute services.

To the maximum extent permitted by law, Shapes Corp's total liability for any claim relating to this agreement or WorldAgents will not exceed the greater of the amount you paid to Shapes Corp for WorldAgents in the twelve months before the event giving rise to the claim or one hundred U.S. dollars.

You will defend, indemnify, and hold harmless Shapes Corp, its affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, and expenses arising from your content, your use of WorldAgents, your deployments, your integrations, or your violation of this agreement or applicable law.

You must comply with applicable laws, export controls, sanctions rules, privacy laws, and platform requirements when using WorldAgents.

We may update this agreement from time to time. If a change is material, we will provide notice by reasonable means, such as posting the updated agreement, updating the date above, or notifying account administrators. Continued use after the effective date means you accept the updated agreement.
